These terms and conditions (hereinafter "Terms of Use" or "ToU") and any amended provisions from time to time govern your access, interaction, enquiry, purchase, experience, or use of Shader Labs Pvt Ltd's user interface channels, including but not limited to its website, mobile site & mobile app, learning management system ("LMS"), call centers, offices, etc. (collectively referred to herein as the "Platform"), and services and products offered by Shader Labs Pvt Ltd.
The Platform is owned by Shader Labs Pvt Ltd (hereinafter "Shader Labs"), a company incorporated under The Companies Act 2013 and having its registered office at Plot 6011, M. Durga Nagar, Bank Colony, Nagpur - 440024, India, which operates under the brand name Shader Labs Pvt Ltd.
Shader Labs Pvt Ltd offers online learning materials and programs with a focus on game development, software development, and related industries, providing industry-relevant courses and experiential instruction.
Before using or interacting with the Platform or procuring the services of Shader Labs Pvt Ltd, users shall compulsorily read and understand these ToU. By accessing, enquiring, experiencing programs, or transacting on the Platform, users shall be deemed to have accepted these ToU as a binding document that governs their dealings and transactions with Shader Labs Pvt Ltd.
This document is an electronic record in terms of the Information Technology Act, 2000, and rules thereunder, as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
Users shall also refer to Shader Labs Pvt Ltd's Privacy Policy available on Shader Labs Pvt Ltd's Platform, which governs the use of users' information as defined therein. By using the Platform, users agree to the terms of the Privacy Policy and accordingly consent to the use of their personal information as per the terms of the Privacy Policy.
All rights and liabilities of Shader Labs Pvt Ltd and users with respect to any services or programs facilitated by Shader Labs Pvt Ltd shall be restricted to the scope of these ToU, the Privacy Policy, any supplementary terms governing particular programs, notices, disclaimers, policies, and guidelines, as applicable, and are deemed to be part of these ToU.
For the purposes of these ToU, capitalized terms used and not defined herein shall have the respective meanings ascribed to them in the Privacy Policy.

APPLICABILITY
For the purposes of these ToU, wherever the context so requires, "User" shall mean any natural or legal person who accesses, interacts, enquires, purchases, or experiences product(s) or service(s) made available through the "Platform".
For the purpose of these ToU, wherever the context so requires, "you" or "your" shall mean the User or Learner(s), and the terms "we", "us", or "our" shall mean Shader Labs Pvt Ltd.
The term "Learner(s)" wherever used in these ToU or elsewhere shall mean the User(s) who have enrolled for a program available on the Platform after purchasing any program from us. Once you enroll in any of our programs, you will be referred to as a Learner for all subsequent transactions with you. Every Learner is deemed a User.
Both the User and Shader Labs Pvt Ltd are individually referred to as "Party" and collectively referred to as "Parties" to the User Agreement.
Some of the Services and programs may be subject to additional terms. Your use of those Services may be subject to such additional terms ("Supplementary Terms"), which are incorporated into these ToU by reference. In the event of an inconsistency between these ToU and the Supplementary Terms, the provisions of the Supplementary Terms shall control to the extent of the conflict. The User should refer to the relevant Supplementary Terms applicable to the given program(s) or service(s) as purchased by the User.
ELIGIBILITY TO TRANSACT ON THE PLATFORM
Users must be eligible to enter into legally binding contracts as per the Indian Contract Act, 1872 and to transact directly with Shader Labs Pvt Ltd and its Platform.
If you are a minor or are below the age of 18 years, you shall not register as a User of the Platform and shall not transact on or use the Platform. Any violation will entitle Shader Labs to decline/deregister/delete/cancel/suspend such registration or accounts.
REGISTRATION, USER ACCOUNT, AND PASSWORD
1. Registration:
a. In order to access certain features and services offered on the Platform, you may be required to register an account. The registration process may require you to provide certain personal information and create a username and password.
b. You represent and warrant that all information provided during the registration process is accurate, complete, and up-to-date. You agree to promptly update your account information if there are any changes.
2. User Account:
a. Upon successful registration, you will have a user account on the Platform.
b. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account.
c. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
d. We reserve the right to suspend or terminate your account at any time if we have reasonable grounds to believe that you have violated these Terms of Use or any applicable laws or regulations.
3. Password Security:
a. You are solely responsible for maintaining the confidentiality and security of your password.
b. You agree not to disclose your password to any third party and to take reasonable measures to protect your password from unauthorized access.
c. You are responsible for all activities that occur under your password or account, and we shall not be liable for any loss or damage arising from your failure to comply with this security obligation.
4. User Responsibilities:
a. You are responsible for all activities that occur under your account, whether or not authorized by you.
b. You agree not to use the Platform for any unlawful or unauthorized purpose and to comply with all applicable laws and regulations.
c. You agree not to impersonate any person or entity or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity.
d. You agree not to upload, post, transmit, or otherwise make available any content that is harmful, offensive, defamatory, infringing, or otherwise objectionable.
5. Suspension and Termination:
a. We reserve the right to suspend or terminate your account at any time without prior notice if we have reasonable grounds to believe that you have violated these Terms of Use or any applicable laws or regulations.
b. In the event of suspension or termination, you may lose access to your account and any data associated with it.
By registering an account on the Platform, you acknowledge and agree to comply with the above provisions regarding registration, user account, and password.
GRANT OF LICENSE AND ACCESS TO USE THE PLATFORM
This Terms of Use (ToU) grants a limited, personal, non-exclusive, non-transferable, and revocable license to Shader Labs Pvt Ltd (hereinafter referred to as "Shader Labs") to use the Platform and access programs, contents, or materials subject to the payment of associated fees by the User and in accordance with the terms and conditions stated herein. Access to certain features of the Platform may only be available to registered Users.
The Platform is intended to be used by bona fide Users for personal, non-commercial, educational, and informational purposes only and in compliance with the terms of this ToU.
Unauthorized access to the Platform is a violation of these ToU and applicable laws. Shader Labs reserves the right to suspend or terminate accounts that engage in unauthorized access, and may initiate legal action against such individuals. You agree not to access our Platform through any means other than the interface provided by Shader Labs. Furthermore, you agree not to use any automated means, including agents, robots, scripts, or spiders, to access, monitor, or copy any part of our Platform, unless expressly approved in advance and in writing by Shader Labs.
You acknowledge that your access to the Platform may be interrupted or delayed due to internet or telecommunication outages or general maintenance. Shader Labs will make best efforts to provide timely notice and work towards mitigating such interruptions or delays, including restoring the services.
Please note that the above statements have been provided as a general framework for the grant of license and access to the Platform by Shader Labs Pvt Ltd. It is important to consult with legal professionals or advisors to ensure that the specific terms and conditions meet the requirements and objectives of your organization.
ADMISSION, PROGRAM FEE, PAYMENT TERMS, AND SCHOLARSHIPS
Any User who is admitted to any program offered through the Platform will be subject to the eligibility criteria set out for such program and the payment of the program fee by the User according to the applicable payment schedule.
The provisional admission of the User to any program may be subject to the submission of certified or self-attested documents as requested by our Educational Partners. Failure to submit the required documents or any discrepancies found in the submitted documents may result in the cancellation of your admission.
For our PC lending program and programs where the User makes direct payment without financial assistance, the program fee is payable in installments or as per the applicable payment schedule at the time of purchase. In the event of any delay in payment of installments, Shader Labs Pvt Ltd may, at its sole discretion, take necessary action, including but not limited to restricting or revoking access to the Platform, without incurring any liability or applying late fee charges. The date on which a payment is received by Shader Labs Pvt Ltd in its bank account will be considered the determining date for late fee penalties. The applicable late fee charges will be communicated to the User/Learner at the time of imposition. Shader Labs Pvt Ltd reserves the right to amend or modify the payment schedule and will notify the Learners of any changes at the time of purchase.
Any fees payable by the User are inclusive of applicable taxes (present or future).
Shader Labs Pvt Ltd and/or its affiliates may offer discounts or promotional codes to eligible Users, which can be applied to any purchased program(s) on the Platform. These discounts or promotional codes are non-transferable and non-reusable.
It is important to keep a record of receipts or invoices generated online for payments made towards any program. Alternatively, Shader Labs Pvt Ltd will provide an invoice for any payment received within five (5) working days from the date of receipt.
All payments shall be made in INR (Indian Rupees).
Shader Labs Pvt Ltd has partnered with third-party payment gateway providers for processing payments made on the Platform. By using the services of such providers, you acknowledge and agree to abide by their terms, policies, etc. You further agree that any information, including Sensitive Personal Data, shared by you will be subject to the privacy terms of the respective provider, and you agree to be governed by such terms. Shader Labs Pvt Ltd does not store your credit/debit card or net banking details, including any other payment instrument used by you for making the payment. Shader Labs Pvt Ltd disclaims any liability or claims arising from your use of third-party payment services, including any refunds, delays, stuck payments, chargebacks, etc., and any use, collection, or storage of information shared by you with such providers.
- Refunds, if applicable, will be processed within fourteen (14) working days (excluding the time taken by the bank for processing the refund) from the date we receive a written request from you to withdraw from the program and the rejection of the loan, along with any other required documents. Any request made after noon, as per the student's local time, will be considered as submitted on the next working day.
- Refunds of fees or down payments will be processed to the same source or bank account used for the original payment. No cash refunds will be provided.
Cancellation, Refund, and Batch Deferment:
Shader Labs Pvt Ltd offers a cancellation and refund policy for its programs. If you are an existing User or a new User who has purchased any of our programs and wish to cancel it and claim a refund, the following terms will apply in accordance with the terms stated in your offer letter:
1. Refund request must be received by Shader Labs Pvt Ltd from a Learner within 20 working days from the date of enrollment, provided that the batch in which the Learner is enrolled is not scheduled to commence within 25 working days from the date of enrollment.
2. Refund requests for a batch scheduled to commence within 25 working days from the date of enrollment will only be issued if the request is received before 5 working days from the batch start date.
3. Any request for refund made after the specified period in these terms will be liable to be rejected.
4. Any cancellation/refund under these terms shall be subject to a cancellation fee of Rs 10,000/- + applicable GST and any other charges as may be applicable, payable by the Learner.
5. Any refund shall be processed within 14 working days from the date of receipt of the request by Shader Labs Pvt Ltd. Requests received after noon time as per the Learner's local time will be considered as submitted on the next working day.
6. The refund processing time of 14 working days is subject to the due receipt of all necessary documents requested by Shader Labs Pvt Ltd to initiate the refund process and excludes the time taken for payment processing by the bank.
7. In the event of any delay due to exceptional circumstances, Shader Labs Pvt Ltd will notify you by email of the delay and estimated time. No claims for interest or other compensation shall be made by the Learner.
8. Any refund will always be processed to the respective account or payment instrument (credit card, wallet, etc.) from which the payment was made for that particular program purchase.

10. Shader Labs Pvt Ltd does not allow any in-session cancellation of any program, and no refund will be applicable.
11. Shader Labs Pvt Ltd reserves the right to revoke an approved cancellation/refund at the management's discretion.
12. Shader Labs Pvt Ltd reserves the right to amend these policies from time to time.
Batch Deferment:
Shader Labs Pvt Ltd offers flexibility to its existing and new Users to defer their learning schedule to the next batch (subject to availability) in case of unavoidable circumstances. Any deferment request must be submitted in writing by the Learner to Shader Labs Pvt Ltd. The following terms and conditions apply to batch deferment:
1. Deferment requests must be made before the commencement date of the scheduled batch.
2. The last date for making the request is three (3) working days prior to the batch commencement date the Learner is enrolled for.
3. Any batch deferment request by a Learner will disqualify them from any scholarships offered by Shader Labs Pvt Ltd, and such scholarships cannot be reclaimed in any manner.
4. Deferment requests made after the commencement date of the scheduled batch are eligible under this policy if made within the first 15 working days from the batch commencement date.
5. A deferral fee of Rs 10,000/- + applicable GST shall be payable by

Communications:
By enrolling in any program offered by Shader Labs Pvt Ltd, you consent to receive communications from us via email, SMS, phone calls, or any other mode of communication. These communications may include program updates, important announcements, promotional offers, and other relevant information related to your learning journey with Shader Labs Pvt Ltd. You agree that all communication provided by Shader Labs Pvt Ltd electronically satisfies any legal requirement that such communication be in writing.

By using the services and accessing the content provided by Shader Labs Pvt Ltd, you consent to the collection, use, storage, and processing of your personal information as described in our Privacy Policy. You acknowledge that you have read and understood the Privacy Policy and consent to the transfer of your personal information to any country for the purposes outlined in the Privacy Policy.
You also consent to the use of cookies and similar technologies on our Platform to enhance your user experience and gather information about how our Platform is used. You may adjust your browser settings to refuse cookies; however, this may limit your access to certain features and functionalities of our Platform.
Please note that any testimonials, reviews, or feedback provided by you may be used by Shader Labs Pvt Ltd for promotional purposes on the Platform or other marketing channels. By submitting such content, you grant us a non-exclusive, royalty-free, worldwide, and perpetual license to use, reproduce, modify, adapt, publish, translate, distribute, and display the content in any media.

PROGRAMS:
The Shader Labs platform serves as an electronic medium that offers online learning opportunities to users.We provide a variety of programs that encompass self-paced learning as well as instructor-led learning. These programs may include a range of materials such as videos, SCORM files, PDFs, PowerPoint presentations, documents, graphics, and more. The curriculum or learning schedule associated with each program is designed to meet the specific learning objectives and may involve textual/video materials, exams, and other components as determined by Shader Labs or our Educational Partners.
To access the programs and their contents, users are required to access the Learning Management System (LMS), which ensures the secure delivery of program materials. It is important to note that the program content cannot be downloaded or copied by the user.
Upon enrollment in any program(s) and upon receipt of the applicable fee, Shader Labs will provide users with a detailed schedule that outlines the program plan, class schedules, assessments, examinations, duration of the program, accessibility, evaluation processes, certification procedures, assessments, and tests. These schedules will govern the respective program.
Each program may have Supplementary Terms that supplement these Terms of Use (ToU), and the related program schedule will be shared with users once full payment of the applicable fee has been made.
Shader Labs reserves the right to amend, modify, cancel, or reschedule any program, including lectures, presentations, and webinars, as well as assessment processes, exams, and certifications. In such cases, revised schedules will be promptly shared with users or published on the Shader Labs platform.
Shader Labs may cancel, amend, modify, upgrade, or alter any program or program content at any time without incurring any liability, except as stated below. Shader Labs will notify users of such changes or publish them on the platform. If a program is canceled by Shader Labs, the company may, at its sole discretion, offer users an equivalent program or alternative batch, or refund the program fee paid by the user within 30 working days from the date of cancellation.
Access to a program and the allotted completion time will be based on the specified duration for each program. In the event that a user fails to complete the program within the given timelines or extensions, or fails to take any required exams during the program period, additional fees or charges may be applicable on a case-by-case basis to facilitate program completion or examination participation.

LAT EXAMINATION:
The LAT (Labs Admission Test) is an entrance examination conducted by Shader Labs Pvt Ltd for the purpose of evaluating and selecting candidates for admission into our programs. The following terms and conditions govern the LAT exam:
1. Eligibility: To be eligible for the LAT exam, candidates must meet the specified criteria outlined on our website or promotional materials. These criteria may include educational qualifications, age restrictions, or other relevant requirements.
2. Exam Format: The LAT exam may consist of multiple-choice questions, essay-type questions, or a combination of both. The specific format, duration, and syllabus will be communicated to the candidates prior to the exam.
3. Cutoff and Scoring: The cutoff marks required to qualify the LAT exam will be determined solely by Shader Labs Pvt Ltd. We reserve the right to modify the cutoff marks without prior notice. Candidates must achieve the minimum qualifying marks to proceed to the next stage of the admission process.
4. Exam Results: The results of the LAT exam will be announced within a specified timeframe after the completion of the exam. Candidates can access their individual scores through our designated online portal or other communication channels.
5. Reappearance: In the event that a candidate fails to meet the cutoff marks or wishes to improve their score, they have the option to reappear for the LAT exam in subsequent examination cycles. However, candidates must fulfill any applicable eligibility criteria and pay the prescribed examination fee for each attempt.
6. Interview and Selection Process: Candidates who meet the cutoff marks in the LAT exam will be eligible for the next stage of the selection process, which may include interviews, group discussions, or other assessment methods. 4. Fee Reappearance: In the event that a candidate wishes to reappear for the LAT exam in subsequent examination cycles, they are required to pay the examination fee for each appearance separately. 5. Currency and Taxes: The examination fee is denominated in the local currency (₹) and is exclusive of any applicable taxes, such as Goods and Services Tax (GST) or other levies. Candidates are responsible for paying any additional taxes as per the prevailing regulations.
6. Confirmation of Payment: Upon successful payment of the examination fee, candidates will receive a confirmation of payment through the designated communication channels specified by Shader Labs Pvt Ltd. It is the responsibility of the candidate to retain the payment confirmation for future reference.
7. Shader Labs Communications will provide you with a certificate of completion or participation in any program, subject to the criteria applicable to each program.
The issuance of certificates will be solely governed by Shader Labs Communications' terms and policies. We make no representation or warranty regarding any certificates or awards provided by external educational partners.
Shader Labs Communications reserves the right to deny the issuance of any certificate of program completion or related certificate without incurring any liability if the information provided by you is found to be incorrect, misleading, incomplete, or deficient, as required by Shader Labs Communications.
The issuance of certificates will be subject to the respective program's terms and conditions, and the decision of Shader Labs Communications will be final and binding.

Shader Labs Pvt Ltd provides a placement guarantee for participants enrolled in the LAB2 and LAB(1+2) programs. However, it is important to understand that this guarantee refers to the support we offer rather than a guaranteed job placement like an internship or an actual job. The actual outcome of the placement process depends on multiple factors, including your performance in our internal semester exams.
3. Job Opportunities: We strive to connect you with potential employers by sharing job openings and arranging recruitment drives. We leverage our network and industry connections to identify suitable opportunities that align with your skills and aspirations.
4. Internal Performance Evaluation:
To assess your readiness for placement, Shader Labs Pvt Ltd conducts internal semester exams. Your performance in these exams plays a crucial role in determining your eligibility for placement support. It is important to perform satisfactorily and demonstrate your skills and knowledge during these evaluations to enhance your chances of securing a job placement.if your performance in these internal evaluation tests does not satisfy us then we can withdraw your placement assistance support.
5. Effort and Participation:
Our placement guarantee is contingent upon your active participation and effort in the placement support activities. While Shader Labs Pvt Ltd provides assistance, it is essential for participants to actively engage in job preparation, follow guidance, and take advantage of the resources and mentorship provided. Your commitment and dedication significantly contribute to your success in the placement process.
6. Legal Compliance:
Shader Labs Pvt Ltd ensures that all placement activities and guarantees comply with applicable laws, regulations, and industry standards. Our placement support adheres to fair employment practices, equal opportunity principles, and confidentiality of participant information. We strive to maintain transparency and integrity throughout the placement process.

Shader Lab’s names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights on Platform including in any Materials as defined in Clause 19.2 under this ToU, domain names or any variants thereof are property of Shader Lab Private Limited. Any other names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights of our Educational Partners or third party service providers used on Platform including in any Materials are property of respective owners. User shall not be entitled to raise any claims against such names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights and Materials in any manner whatsoever or use, reproduce, publish such names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights without explicit licenses from the respective owners. Said properties are protected under applicable intellectual property laws of India or as may be applicable.

The technology and the software including intellectual property underlying our Platform and our services is the property of Shader Lab Private Limited, and/or our affiliates or licensors. Shader Lab’s Platform is intended to promote e-learning through various programs, texts, exams, video, audio, lectures, webinars, speeches, webinars, live lectures, lessons, quiz, presentation, images and/or other instructional materials, photographs, graphics, images, illustrations, interactive features, marks, logos, sound or video clips, animation which includes content created by us, our partners or licensors or associates (collectively “Materials”).
